§1 Definitions
1.1 “Agreement” means this framework agreement including Appendix 1 (Rate Card), Appendix 2 (Service Levels) and any written amendments signed by both parties.
1.2 “Services” means the transport, distribution and related logistics services described in §2, performed by the Carrier for the Customer.
1.3 “Rate Card” means the price schedule in Appendix 1, comprising zone-based rates, full truckload rates, accessorial charges and surcharge mechanisms.
§2 Scope of services
2.1 The Carrier shall perform scheduled and ad hoc road transport of the Customer’s goods within Norway, including temperature-controlled transport of foodstuffs.
2.2 The Agreement is non-exclusive. The Customer gives no volume guarantee, and the Carrier may not invoice for volumes not actually shipped.
§3 Service levels
3.1 The Carrier shall achieve an on-time delivery rate of at least 96 % measured per calendar quarter, excluding delays caused by force majeure or the Customer.
3.2 Temperature-controlled shipments are carried in the classes Ambient (+15 °C to +25 °C), Chilled (+2 °C to +8 °C) and Frozen (−18 °C to −22 °C), with surcharges as set out in the Rate Card.
§4 Ordering and booking
4.1 Orders received before 14:00 on a business day are performed with delivery the following business day for the standard assortment.
4.2 Bookings are placed through the Carrier’s digital booking portal. Manual booking incurs no additional charge.
§5 Prices and price adjustment
5.1 All prices for the Services follow the Rate Card in Appendix 1. Prices are stated in NOK excluding VAT and include loading, standard handling and administrative costs.
5.2 Unit prices may be adjusted once per calendar year, with effect from 1 January, in accordance with the change in Statistics Norway’s Consumer Price Index (KPI), limited to 80 % of the 12-month change as of 15 October. Price adjustments require written notice to the Customer no later than 30 days before taking effect.
5.3 Beyond §5.2 and the surcharge mechanisms in §9, no other price adjustments, index regulations or supplements may be applied to the Services.
§6 Zone-based pricing
6.1 Less-than-truckload shipments are priced per kg by origin and distance zone:
6.2 Zone allocation follows the postcode table in Appendix 1 §3. Oslo, Viken and Vestfold are Zone 1; Innlandet, Agder and Rogaland are Zone 2; Vestland, Møre og Romsdal and Trøndelag are Zone 3; Nordland, Troms and Finnmark are Zone 4.
§7 Weight breaks
7.1 Chargeable weight is adjusted by the following factors: 0–99 kg × 1.00 · 100–499 kg × 0.92 · 500–999 kg × 0.85 · 1 000–4 999 kg × 0.78 · 5 000–9 999 kg × 0.72 · 10 000+ kg × 0.65.
7.2 Chargeable weight is the greater of gross weight and volumetric weight, calculated at 1 m³ = 280 kg.
7.3 A full pallet counts as 0.72 m³ (120 × 80 × 75 cm). Part pallets are rounded up to the nearest quarter pallet.
§8 Delivery terms
8.1 All deliveries are made DDP (Incoterms 2020). Unit prices are inclusive of freight, insurance and delivery to the agreed destination. The Carrier may not invoice separate freight supplements, return-freight fees or delivery surcharges of any kind.
8.2 Risk of loss or damage to the goods passes to the Customer upon completed delivery at the agreed place of delivery.
8.3 Deliveries are received at the Customer’s goods reception on business days between 06:00 and 15:00. Deliveries outside these hours require written approval in advance.
8.4 Full truckload rates per route, including maximum weights and transit times, follow Appendix 1 §2 (e.g. Oslo – Bergen 18 500,00 · max 24 000 kg · 1 day).
§9 Fuel surcharge
9.1 Fuel surcharge is calculated from a base diesel price of NOK 19.50 per litre and recalculated monthly against Statistics Norway’s published diesel prices:
§10 Accessorial charges
10.1 Liftgate delivery NOK 850 per delivery · redelivery attempt NOK 1 500 · dangerous goods (ADR) NOK 2 500 per shipment · storage after 48 h NOK 125 per pallet per day.
§11 Travel and personnel
11.1 Where the Services include technicians or personnel on site, hourly rates follow Appendix 1 §5. Overtime supplements apply only with the Customer’s written pre-approval.
11.2 Travel time and mileage in connection with the Services are reimbursed in accordance with the Norwegian government’s standard rates (Statens standardsatser) in force at the time of service. No private rates or supplements apply.
11.3 Travel outside the agreed service region requires written pre-approval and is capped at NOK 1 776 per site visit including tolls and parking.
§12 Invoicing
12.1 The Carrier issues one consolidated invoice per calendar month, itemised per shipment with reference to order number and delivery address.
12.2 Payment terms are 14 days net from invoice date. Invoices may not be issued before the Services are performed.
12.3 Invoices are delivered in EHF format. The invoice may not be assigned to a third party (factoring) without the Customer’s written consent.
§13 Payment
13.1 Late payment interest accrues in accordance with the Norwegian Act on Interest on Overdue Payments, currently 11.75 % p.a.
§14 Liability and claims
14.1 The Carrier is liable for loss of, damage to or delay of the goods in accordance with the Norwegian Road Transport Act, limited to 17 SDR per kilogram of gross weight lost or damaged.
14.2 Visible damage must be noted on the consignment note on delivery. Concealed damage must be notified in writing within seven calendar days of delivery.
14.3 The Carrier’s aggregate liability in any twelve-month period is limited to the fees invoiced under the Agreement in the same period, save for gross negligence or wilful misconduct.
§15 Insurance
15.1 The Carrier shall maintain carrier’s liability insurance of no less than NOK 20 000 000 per incident and shall provide a certificate of insurance on the Customer’s request.
15.2 Insurance of the goods beyond the statutory carrier’s liability is arranged by the Customer unless separately agreed in writing.
§16 Force majeure
16.1 Neither party is liable for failure to perform caused by events beyond its reasonable control, including extreme weather, closed roads, industrial action at third parties and acts of public authority.
16.2 The affected party shall notify the other without undue delay and limit the consequences as far as reasonably possible. Force majeure lasting more than sixty consecutive days entitles either party to terminate the affected services.
§17 Confidentiality and data
17.1 Each party shall keep confidential all commercial information received under the Agreement, including rates, volumes and delivery patterns, for the term and three years thereafter.
17.2 Personal data is processed only on documented instruction from the Customer and is not transferred outside the EEA.
§18 Assignment and subcontracting
18.1 The Carrier may use subcontractors for the performance of the Services but remains fully liable for their performance. Subcontracting of temperature-controlled transport requires the Customer’s prior written approval.
18.2 Neither party may assign the Agreement, in whole or in part, without the other party’s written consent.
§19 Term and termination
19.1 The Agreement runs until 30 April 2026 and is renewed for twelve months at a time unless terminated in writing.
19.2 Either party may terminate the Agreement with six months’ written notice. Material breach entitles the other party to immediate termination.
§20 Governing law
20.1 The Agreement is governed by Norwegian law. Legal venue is Bergen tingrett.
